Experience: Commercial Real Estate, Tax Assessment Abatement Incentives and Commercial Leases

  • Reorganized client’s real estate holdings and ventures into an Illinois Series Limited Liability Company with six designated Series LLC entities having consolidated operations and structured as a single taxpayer solely for tax reporting purposes, but otherwise and for all other matters separate and stand-alone entities.
  • Provide counsel to a privately owned manufacturer of commercial binding equipment in the sale of its 38,000 square foot Chicago headquarters and manufacturing facility and its purchase and relocation to a 60,000 square foot suburban facility. The new facility is centrally located to multiple modes of transportation with capacity to accommodate sustained growth and advanced manufacturing methods upon the completion of a substantial state-of-the-art rehabilitation and development thereof that secured for the client the county’s incentive real estate tax assessment abatement program. This resulted in its rehabilitated manufacturing facility being assessed at 10% of market value for the first 10 years, 15% in the 11th year and 20% in the 12th year instead of being assessed at 25% of its market value.
  • Represented the private equity successor sub-prime auto loan finance entity in the negotiation, documentation and closing of a commercial lease of 4,760 square feet and a subtenant commercial lease of 6,010 square feet for its Illinois corporate offices and processing center and a commercial lease of 4,600 square feet for its satellite office in Ohio.
  • Represented securities broker-dealer in the negotiation, documentation and closing of a subtenant commercial lease of 9,590 square feet for its Chicago office and a sub-subtenant commercial lease of 9,600 square feet upon the relocation of its Chicago office.
